As a tax lawyer I provided both personal tax structuring advice and corporate structuring advice to an ultra-high net worth Central Asian based family in advance of the IPO of their mining company – involved the establishment of a sophisticated PTC structure with various built in protection mechanisms which followed an extensive jurisdictional review to locate the optimum location for the PTC and the underlying personal holding structure.
Instructed by the UBO and founder of a substantial retailer (supermarkets and pharmaceuticals) based in Kazakhstan. The client was concerned that her existing group of companies had no proper structure and that her personal ownership of the group was not properly organised.
I addressed the personal ownership question through the introduction of a discretionary trust (with protector) structure. The corporate structure was then reorganised with a local holding company being established to own the various local operating subsidiaries. The local holding company was placed under a newly established Netherlands BV.
